Company Registration and Incorporation

End to end registration of private limited, public limited and single shareholder companies, including name reservation, constitutional documents and tax registration.

Registration is the easy part. Registering in a structure you will not have to unwind in two years is the part that takes judgement.

What this covers

  • Advice on the right structure before anything is filed
  • Company name reservation at the Office of the Company Registrar
  • Drafting of the memorandum and articles of association for your actual business, not a generic template
  • Share structure and capital allocation between founders
  • Filing of the incorporation application and follow up until the certificate issues
  • Permanent account number registration at the Inland Revenue Department
  • Local ward and municipality business registration
  • First board resolutions, share certificates and statutory registers

What you will need

  • Citizenship certificate or passport of each shareholder and director
  • Passport size photograph of each shareholder and director
  • Proposed company names in order of preference
  • Proposed registered office address and proof of the premises
  • Intended business activities in as much detail as you can give
  • Proposed authorised, issued and paid up capital, and the split between shareholders

What you receive

  • Certificate of incorporation
  • Registered memorandum and articles of association
  • Permanent account number certificate
  • Local business registration
  • Share certificates, statutory registers and first minutes

How it works online

  1. Talk to us. Describe the business and what you need by phone, WhatsApp, Viber or the enquiry form.
  2. Receive a written scope and quote. Professional fees are shown separately from government fees and third party costs.
  3. Send your documents. You get an exact list for your case, and scanned copies are enough for most steps.
  4. Get updates at every stage. Including the stages where a government office has not yet responded.
  5. Receive the outcome. Certificates and records are delivered digitally, with originals arranged where required.

Questions about company registration and incorporation

Do I need to be in Kathmandu to register a company?

No. The process runs through the Office of the Company Registrar portal. Documents are signed, notarised and sent to us, and we deal with the office. Clients in Pokhara, Biratnagar, Butwal and abroad register with us regularly without travelling.

How many shareholders do I need?

One is enough for a private company. The Companies Act permits a single shareholder private company, and it carries the same compliance obligations as any other private company.

How much capital do I need to put in?

There is wide latitude in setting authorised and paid up capital for most activities, but capital also affects registration cost and how the company is perceived by banks and counterparties. Some sectors carry their own minimums. We recommend a figure that fits your plans rather than the smallest number possible.

What comes immediately after incorporation?

Tax registration, local business registration, a bank account, and then whichever sector licence your activity requires. We map the full sequence at the start so nothing surfaces as a surprise in month three.
