Most compliance failures are not decisions. They are the result of nobody owning the calendar.
What this covers
- A compliance calendar prepared for your company, with reminders ahead of each deadline
- Annual return and audited financial statement filing at the Office of the Company Registrar
- Notice, agenda, attendance record, minutes and resolutions for the annual general meeting
- Extraordinary general meetings when a decision cannot wait
- Share transfer, allotment and capital change filings
- Updating directors, registered office and objectives on the register
- Maintenance of the share register and register of directors
- Regularising companies that have fallen behind
What you will need
- Certificate of incorporation and current memorandum and articles
- Audited financial statements for the year, or the trial balance if the audit is still in progress
- Details of any change in shareholding, directors or registered office during the year
- Previous year filings, if you have them
What you receive
- Filed annual return with acknowledgement
- Complete minute book and resolution record
- Updated statutory registers
- A calendar for the year ahead
How it works online
- Talk to us. Describe the business and what you need by phone, WhatsApp, Viber or the enquiry form.
- Receive a written scope and quote. Professional fees are shown separately from government fees and third party costs.
- Send your documents. You get an exact list for your case, and scanned copies are enough for most steps.
- Get updates at every stage. Including the stages where a government office has not yet responded.
- Receive the outcome. Certificates and records are delivered digitally, with originals arranged where required.
Questions about corporate compliance and secretarial services
We are three years behind. Is that fixable?
Usually, yes. Missing years are reconstructed and filed in sequence, with the penalties that have accrued. It is more work than staying current, but it is far better than the alternative, which is discovering the problem during a bank application or a sale.
Do you work with our existing accountant?
Yes, and it is generally the best arrangement. The accountant produces the numbers, we handle the statutory filings and the corporate record. The two jobs are different and the responsibility for the filing sits with the company.
What does this cost on an ongoing basis?
It depends on the size of the company, the number of shareholders and how much movement there is during the year. We quote annually rather than per filing so the cost is predictable.
